INDUSTRIAS QUÍMICAS KUPSA, S.L. (Absorbing Company) and BARNIPOL, S.L.U. (Absorbed Company). MERGER ANNOUNCEMENT

It is hereby made public that, on May 29, 2024, the General Shareholders' Meeting of INDUSTRIAS QUÍMICAS KUPSA, S.L. (Absorbing Company) approved the merger by absorption of BARNIPOL, S.L.U. (Absorbed Company) by the former. The merger will result in the dissolution of the Absorbed Company, transferring its assets in bulk to the Absorbing Company, which will acquire all the rights and obligations of the Absorbed Company by universal succession as a result of the latter’s dissolution.

It is expressly noted that shareholders and creditors have the right to obtain the full text of the adopted resolution and the merger balance sheets. Creditors of the companies participating in the merger are also informed of their right to object to the merger within the period and under the terms provided in Article 13 of Law 5/2023, of June 28, on Structural Modifications of Commercial Companies.
